GENERAL DELIVERY/ PAYMENT TERMS FOR ONLINE ORDERS

1. Definitions
In these general terms and conditions, the following meaning will be given to the following words, unless it appears from the context in which these are used that a different meaning should be attached.
Meijers: L.M. Meijers b.v. based in Roosteren and trading under the name MEIJERS.
Client: the person who has or has not entered into an agreement with Meijers for the delivery of goods and/or services, as well as anyone who comes into a legal relationship with Meijers through or in connection with an agreement made by Meijers.
2. Applicable conditions
These sales conditions apply to all agreements between Meijers and the client, excluding any conditions declared applicable by the client or counterparty. In case of discrepancies between the Dutch text and a translation thereof, the Dutch text is binding.
3. Price quotation
All prices mentioned in brochures, leaflets, etc. are guide prices, which apply as long as stock lasts. Orders based on brochures, leaflets, etc. will be executed at the prices specified at the time of ordering, within the set period. Only written price quotations are binding. Price quotations, other than those made regarding the aforementioned orders, are binding for eight days.
Price indications and offers in the web shop are inclusive of VAT unless stated otherwise.
4. Agreements
A written order confirmation is required for the establishment of an agreement. An agreement is only established if it has been confirmed in writing by Meijers within 8 days, or if the execution of the order by Meijers has commenced.
5. Delivery
All delivery times specified by Meijers are estimated times and will never be considered as a fatal deadline, unless it has been expressly agreed otherwise in writing. Shipping costs depend on the order amount and the destination country. During the order process, you can calculate the shipping costs.
Different rules may apply to offers, which will then be expressly stated.
6. Returns
If a delivery does not meet your conditions, you can return it sufficiently stamped within 7 days. First, please contact us, only shipments with a return number will be accepted. For a refund, the product must be in its original undamaged packaging, unused and in pristine condition. Meijers reserves the right to deduct shipping costs and, if a credit card company is used (3-4%), from the amount to be refunded.
7. Payment
Payment must be made within ten days of the invoice date, without compensation. Invoices will not be sent earlier than on the day of delivery, unless agreed otherwise in writing.
8. Retention of title
The goods delivered by Meijers to the client remain the property of Meijers until the client has fulfilled their payment obligations. Meijers is entitled, in the event of the client being in default, to collect these goods immediately from the client.
9. Claims from third parties
The client indemnifies Meijers against all damages, consequences and claims from third parties, arising from incorrect, misleading and/or incomplete statements, indications, information, communications and/or instructions made by or on behalf of the client.
10. Expiry of claims
All claims against Meijers for compensation of damages, loss of claims from third parties, fines or costs or otherwise, shall expire if they have not been communicated in writing to Meijers within 30 days after delivery, or after the client was or should have been aware of that claim. Any claim against Meijers shall expire in any case if it is not pursued in court within 6 months after the occurrence of that claim.
11. Liability
Meijers accepts no liability for consequential damage. In the event that Meijers is liable, this liability shall in all cases be limited to at most the agreed value of the delivery.
12. Termination
Meijers is entitled to terminate an agreement immediately, without notice of default and without judicial intervention in the event that the client; applies for a suspension of payments, becomes insolvent, enters liquidation, is subject to a seizure of its assets, is placed under guardianship or otherwise loses disposal over its assets or a substantial part thereof.
13. Guarantee
The goods supplied by Meijers are subject to the warranty period set by the manufacturer, which is non-transferable, of one year unless otherwise stated in writing by Meijers. The warranty does not apply to goods that are used incorrectly other than as stated in the manual or instructions for use. There is no warranty period on stretch materials and elastics, except for factory defects. All costs incurred by Meijers regarding the replacement/repair of goods that fall outside the warranty period shall be borne by the buyer, including shipping/travel/material/labour costs.
The warranty is void if necessary maintenance is not carried out as stated in the instructions for use.
14. Applicable law, competent court
All agreements between Meijers and the client are governed by Dutch law. All disputes that may arise between Meijers and the client and/or that are subject to these terms and conditions shall be submitted to the competent court of the location where Meijers is established in the Netherlands.
